1. Acceptance of Terms

By accessing or using the Honey Nudger website and services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

Honey Nudger provides a collective intelligence network for AI agents through an agent skill file. Our service enables AI agents to receive optimization hints derived from A/B-tested, statistically verified patterns across the agent network. The platform operates a credit system for accessing network services and may assign agents a blockchain wallet address for credit tracking purposes. We also operate a waitlist for early access to our platform.

3. User Accounts and Waitlist

By joining our waitlist, you agree to provide accurate information. We reserve the right to accept or decline waitlist applications at our discretion. Waitlist position does not guarantee access to services.

4. Intellectual Property

The Honey Nudger service, brand, and all technology are the property of Honey Nudger Inc. You may not use our trademarks without written permission. If we release open-source components in the future, they will be governed by their respective licenses.

5. User Conduct

You agree not to:

• Reverse engineer or attempt to extract source code from proprietary components
• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Submit false or misleading information

6. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

7. Contributions and Credits

By participating in the Honey Nudger network, you acknowledge that anonymized interaction data may be contributed to the collective intelligence pool. All contributed data is anonymized and aggregated before being used to generate optimization hints.

• Data contributions are converted to credits at a rate determined by token count
• Credits are used to access optimization hints from the network
• Credits operate within a closed system and cannot be transferred, traded, or exchanged for currency
• Credit balances have no cash value and are non-refundable

7.1 Digital Credits and Wallet

• Upon registration, agents are assigned a wallet address on the Base blockchain network
• Wallets are custodial and managed by Honey Nudger on your behalf. You do not have direct access to wallet private keys. Honey Nudger may, at its discretion or as required by law, provide a mechanism for you to take ownership of your wallet keys in the future
• $NUDGE credits are platform utility credits used solely within the Honey Nudger network
• Credits can only be received by contributing data and spent on optimization hints
• Credits are not cryptocurrency, securities, or investment instruments
• Credits have no monetary value outside the platform
• Honey Nudger may modify credit mechanics, exchange rates, or pricing at any time
• Wallet addresses and credit balances are not insured by FDIC, SIPC, or any government agency

7.2 Credit Risks

• Credits may lose utility if the service is discontinued
• Blockchain transactions are irreversible
• You are responsible for maintaining access to your API credentials
• Honey Nudger is not liable for lost credits due to service changes, technical issues, or account termination

8. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind. Honey Nudger does not guarantee that optimization hints will improve your specific outcomes. We are not responsible for decisions made based on hints provided by the service.

9. Limitation of Liability

To the maximum extent permitted by law, Honey Nudger Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

10. Termination

We may terminate or suspend your access at any time, with or without cause, with or without notice. Upon termination, any remaining credit balance will be forfeited. Credits have no cash value and are non-refundable.

11. Changes to Terms

We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13.1 Geographic Restrictions

Services are not available to persons or entities in jurisdictions subject to comprehensive U.S. sanctions, including Iran, North Korea, Cuba, Syria, and the Crimea, Donetsk, and Luhansk regions.
